2nd  Witness  Statement  of  Julian  Wheatland

I,  JULIAN  WHEATLAND  of  215  Cumnor  Hill,  Oxford  OX2  9RG,  company  director,  STATE  as
follows:

I  am  a  director  of  each  of  the  Applicant  companies  and  am  duly  authorised  to  make  this  witness
statement  on  their  behalves  (the  “6  Companies”).

I  make  this  witness  statement  as  requested  by  The  Hon.  Mr  Justice  Hildyard  over  the  course  of
examining  the  evidence  before  him  and  upon  a  request  for  further  evidence  to  be  filed.

3.  Asa  director  of  each  of  the  applicant  companies  and,  further,  having  been  a  director  of
Emerdata  Limited  since  1 1  August  2017, 1  can  confirm  that  Emerdata  Limited  is  a  holding
company  and  that  it  does  not  intend  to  take  over  or  carry  on  the  business  of  the  subsidiaries,
the  6  Companies.

4.  I  can  also  confirm  that,  despite  regrettable  media  supposition  to  the  contrary,  the  employees
working  for  the  6  Companies  have  not  had  their  keycards  and  laptops  seized.  To  the  contrary,
a  notice  of  redundancy  was  issued  and  therefore  the  6  Companies  are  in  a  consultation  period
with  the  employees  in  each  case.

5.

The  Qualified  Floating  Charge  over  SCL  Group  Ltd  recently  agreed  to  be  discharged  by
Barclays  Bank  PLC  related  to  overdraft  service  that  was  not  in  debit  or  though  I  believe  it  had
been  used  previously  had  not  had  prior  to  the  beginning  of  the  adverse  media  coverage.

6.  I  can  confirm  that  prior  to  administration  the  6  companies  had  61  employees,  all  of  whom
worked  for  SCL  Elections  Limited.

7.  At  JW2  I  exhibit  the  correspondence  between  Messrs  Squire  Patton  Boggs  and  the
Information  Commissioner’s  Office  ending  on  4th  April  2018  to  the  above  witness  evidence.
