If you wish to run XP in a VM then you also need to have the BIOS and CPU
capable of doing that.  There will be a setting in the BIOS, or the UEFI.

If you are upgrading from XP, to Windows 7 or 8, then you will need to do a
clean install.  Having a 32 bit version of the OS will allow you to run 16 bit
programs still as well.  However, because of a clean install, you will have to
reinstall all of your previous programs.  Been there, done that.  It is always
better in any case to do a clean install.
